1. Introduction

These Terms of Service govern your use of the website srirajassociates.com and the AuditHawk platform (app.srirajassociates.com), operated by M/s. Sriraj & Associates, a Chartered Accountancy firm registered with ICAI. By accessing or using our services, you agree to these terms.

2. Definitions

• "Service" refers to the AuditHawk platform and related services
• "User" refers to any person or entity accessing the Service
• "Company Data" refers to Tally financial data synced by the User
• "Subscription" refers to the paid or free tier access to AuditHawk

3. Account Terms

• You must provide accurate information during registration
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorised access to your account
• One person or entity per account; sharing credentials is prohibited

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or disassemble the software
• Scrape, crawl, or extract data from the Service by automated means
• Interfere with the security or integrity of the Service
• Upload malicious code, viruses, or harmful content

5. Service Description

AuditHawk is a web-based platform for analysing financial data from Tally Prime. The Service provides audit analysis, compliance checks, and reporting tools. We aim for 99.5% uptime but do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where possible.

6. Data Ownership

You retain full ownership of all Company Data you upload or sync to AuditHawk. We process your data solely to provide the Service. We do not access, use, or share your Company Data for any purpose other than delivering the features you use. Upon termination, your data will be available for export for 30 days.

7. Intellectual Property

The AuditHawk software, including its code, design, algorithms, and documentation, is the intellectual property of M/s. Sriraj & Associates. Your subscription grants you a non-exclusive, non-transferable licence to use the Service during the subscription period.

8. Payment Terms

AuditHawk is currently available as a free beta. When paid plans are introduced, pricing and payment terms will be communicated with at least 30 days notice. Existing beta users will receive advance notification of any pricing changes.

9. Limitation of Liability

To the maximum extent permitted by law, M/s. Sriraj & Associates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

10. Termination

• You may terminate your account at any time by contacting us
• We may terminate or suspend access for violation of these terms
• Upon termination, your Company Data will be available for export for 30 days
• After the export window, all data will be permanently deleted

11. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.

12. Dispute Resolution

Any dispute arising under these terms shall first be attempted to be resolved through mutual consultation. If unresolved within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Chennai.

13. Modifications

We reserve the right to modify these terms. Material changes will be communicated via the website with at least 30 days notice. Continued use of the Service after changes constitutes acceptance.
